Terms of Service

1. INTRODUCTION

These Terms of Service (“Terms”) govern your access to and use of the Spidify identity verification platform, APIs, SDKs, dashboards, and related services (collectively, the “Services”) provided by Ha-Shem Limited (“Ha-Shem”, “we”, “us”, or “our”).

By accessing or using the Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. USE OF THE SERVICES

  • You must use the Services only for lawful purposes and in accordance with these Terms.
  • You are responsible for maintaining the confidentiality of your API keys and account credentials.
  • You must not misuse the Services, attempt to circumvent security controls, or use them to violate the rights of others.
  • You must ensure that your use of the Services complies with all applicable identity, KYC/AML, and data-protection laws.

3. CUSTOMER OBLIGATIONS & COMPLIANCE

You are responsible for obtaining all necessary consents from your end users before submitting their personal or biometric data to the Services, and for processing that data in accordance with the Nigerian Data Protection Act 2023 (NDPA), CBN AML/CFT regulations, and any other applicable laws.

Verification results are provided to support your own risk decisions. You remain responsible for the final onboarding, approval, or rejection of any end user.

4. FEES & BILLING

Fees for the Services are set out in your subscription plan or order form. Unless otherwise stated, fees are billed based on usage and are non-refundable except as required by law. We may update pricing with reasonable prior notice.

5. DATA PROTECTION & PRIVACY

Our handling of personal data is described in our Privacy Policy, which forms part of these Terms. We implement appropriate technical and organisational measures to protect personal data and apply data-retention controls consistent with applicable law.

6. SERVICE AVAILABILITY

We aim to provide reliable and continuous access to the Services but do not warrant that the Services will be uninterrupted or error-free. Some verification checks rely on third-party data sources whose availability we do not control.

7. INTELLECTUAL PROPERTY

The Services, including all software, documentation, and branding, are owned by Ha-Shem or its licensors. These Terms do not grant you any rights in our intellectual property except the limited right to use the Services as permitted here.

8. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Ha-Shem shall not be liable for any indirect, incidental, or consequential damages arising out of or relating to your use of the Services. Nothing in these Terms excludes liability that cannot be excluded by law.

9. TERMINATION

We may suspend or terminate your access to the Services if you breach these Terms or if required to protect the Services, other users, or comply with law. You may stop using the Services at any time.

10. CHANGES TO THESE TERMS

We may update these Terms from time to time. If we make material changes, we will revise the date at the top of this page and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
